Weil Gotshal, Skadden Handle $8 Billion Health Care Deal UnitedHealth Grouphas reached a definitive agreement to acquire PacifiCare Health Systems Inc.in a cash and stock deal valued at $8.1 billion. Cypress, Calif.-based PacifiCare is a consumer health organization with approximately 3.2 million health plan members and 11.3 million specialty plan members. After the acquisition, PacifiCare will become a subsidiary of UnitedHealth. Its customers will have new options because of UnitedHealth’s network of over 460,000 doctors and 4,500 hospitals. Minneapolis, Minn-based UnitedHealth has approximately 55 million customers nationwide through six businesses: UnitedHealthCare, Ovations, Americhoice, Uniprise, Specialized Care Services and Ingenix. News Purchase of Intermix Involved Skadden, Latham On July 18th, News Corporationsigned a definitive agreement to purchase Internet company Intermix Media, Inc.for approximately $580 million. The deal will close to double News Corporation’s U.S. Web traffic. Intermix owns over 30 Web sites and is the largest multi-category online entertainment network. Its network of Web sites receive over 27 million unique users per month. The company’s most popular site is MySpace.com, a connected community that has many features, including instant messaging, blogs and music downloads. In June, the site had 8 percent of all ads on the Internet. News Corporation has recently focused on increasing its presence online. On July 15th, the company formed Fox Interactive Media, a unit that will manage foxsports.com, foxnews.com and fox.com.
