Following in the tradition of Cravath’s mergers and acquisitions partners, Scott Barshay is already racking up an impressive list of multimillion—and billion—dollar deals. Most recently, he represented Mandalay Resort Group in its $7.9 billion merger with MGM Mirage; King Pharmaceuticals Inc. in its proposed $4 billion merger with Mylan Laboratories Inc.; and Jones Apparel Group Inc. in its hostile bid for Maxwell Shoe Co. for $346 million and its $400 million acquisition of Barneys New York Inc. He also represented CBS in its $40 billion merger with Viacom Inc., United Airlines in its proposed $12 billion acquisition of US Airways and Paine Webber in its $12 billion sale to financial company UBS A.G. Barshay serves as the primary outside U.S. deal counsel for International Business Machines Corp., and has represented IBM in more than 25 mergers and acquisitions since 1998. Most recently, he advised it in the acquisition of Ascential Software for $1.1 billion and the sale of IBM’s personal computer business to Lenovo Group Ltd. for $1.75 billion. He is representing the board of directors of MCI Inc. in its proposed acquisition by Verizon Communications or Qwest Communications. Barshay was made partner at Cravath at the age of 32 in 1998. Shortly afterward, he took over the Jones Apparel account, which acquired Nine West Group Inc. for $1.5 billion. Barshay graduated from Columbia Law School.
