Lawyers from Morgan Lewis & Bockius and Pepper Hamilton worked on a recent deal in which Fidelity National Financial acquired Sanchez Computer Associates Inc. for $175 million in cash and stock. The transaction was announced Jan. 28 and closed April 14.

Fidelity National, of Jacksonville, Fla., is a Fortune 500 company that provides products and outsourced services and solutions to financial institutions and the real estate industry.

Under the terms of the deal, Sanchez will become a subsidiary of Fidelity Information Services, an FNF subsidiary that provides software and services to real estate and financial services firms.

Sanchez, of Malvern, Pa., develops and markets scalable and integrated software and services that provide banking, customer integration, outsourcing and wealth management solutions to financial services companies.

Morgan Lewis partner Kimberly A. Taylor and associate Dani J. Karpinski, both of the Pittsburgh office, represented FNF. Taylor said New York-based tax partner Kenneth Kail also assisted with tax matters. The Morgan Lewis team worked closely with FNF associate general counsel Christopher Rose.

The core Pepper Hamilton deal team representing Sanchez included corporate partners Barry M. Abelson and Brian M. Katz and associate Daniel V. Logue; tax partner Joan C. Arnold; and employee benefits associate Claire E. McCusker. Others in their practice areas also made significant contributions. The Pepper Hamilton team worked closely with Sanchez general counsel Marcia Heister.
