There are some things that legal departments can do to help, primarily having robust compliance programs in place and routinely reviewing those programs to ensure that they're still effective. And, if wrongdoing comes to light, legal departments have to step up and deal with an array of issues, from internal and external investigations to PR crises.

The arrest and ouster of Nissan Motor Co. Chairman Carlos Ghosn highlights just how difficult it can be to hold to account the behavior of leaders at the highest levels of a company. Ghosn is accused of fibbing about his compensation and misusing company assets for years and has been removed as chairman of Nissan and partner Mitsubishi Motors Corp.
