In this breach of contract and legal malpractice action, appellants resigned their positions and sold their business to a new company in exchange for the new company covering $2.16 million that appellants owed in unpaid employee withholding, wage and sales taxes; where appellants' counsel reviewed the agreement and assured them the sale would terminate their liability for back taxes, but appellants discovered they were still liable, the court found that appellants' claim alleged actual loss. Reversed.
